Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client”, “you”, or “your”), and Britech Labs (“Company”, “we”, “us”, or “our”), concerning your access to and use of the https://britechlabs.com website as well as any other media form, media channel, web app, or service contract linked or related thereto (collectively, the “Services”).

By accessing our website, booking a scoping consultation, or issuing a Statement of Work (SOW) or invoice payment, you agree that you have read, understood, and agreed to be bound by all of these Terms.

Services Provided

Britech Labs provides specialized technical, artificial intelligence, and visual design agency services across three primary areas:

  • Custom AI Development: Bespoke web applications, custom API builds, Retrieval-Augmented Generation (RAG) knowledge bases, multi-agent workflow automations (e.g., via n8n, LangGraph), and CRM/ERP integrations.
  • Generative AI SEO (GEO): Generative Engine Optimization, structured data/schema (JSON-LD) deployment, entity graph architecture, content restructuring, and multi-LLM citation tracking (e.g., ChatGPT, Perplexity, Gemini, Google AI Overviews).
  • Immersive 3D & Digital Design: Photorealistic 3D product rendering, 360-degree interactive viewers, WebGL/Three.js product configurators, and AR-ready 3D model generation from CAD, sketch, or physical inputs.

Intellectual Property Rights & Ownership

A. Client Materials & Inputs
The Client retains sole ownership of all pre-existing intellectual property, source code, confidential business records, brand guidelines, product specifications, CAD files, proprietary datasets, and knowledge base documents provided to Britech Labs for the execution of the Services (“Client Materials”).

B. Final Deliverables & AI Outputs

Upon full payment of all applicable fees for a designated scope of work:

  • Custom Code & 3D Assets: Britech Labs assigns to the Client all right, title, and interest in and to custom web applications, unique 3D models, final photorealistic renders, and bespoke API implementations created specifically for the Client.
  • AI Outputs: To the extent permitted by law and subject to the terms of underlying foundation model providers, outputs generated through custom AI solutions built for the Client belong to the Client.

C. Agency Pre-Existing IP (Core Assets)
Britech Labs retains all ownership rights, title, and interest in and to its pre-existing tools, generic agent architecture patterns, reusable code libraries, boilerplate configurations, prompt frameworks, and software development methodologies created prior to or independently of the engagement (“Agency IP”). Britech Labs grants the Client a non-exclusive, perpetual, royalty-free license to use any Agency IP embedded within the final deliverables solely for operating the deliverables.

Disclaimers Specific to AI Systems & Search Algorithms

A. AI Probabilistic Nature & “Hallucinations”

Client acknowledges that custom AI applications, chatbots, and workflow agents utilize probabilistic machine learning technologies. While Britech Labs implements system prompts, guardrails, and validation frameworks to minimize errors:

  • Outputs generated by AI systems may occasionally contain inaccuracies, incomplete information, or unexpected results (“hallucinations”).
  • Client Responsibility: Client agrees to review, test, and validate all AI-generated content or critical automated decisions before deploying them live in production environments or relying on them for critical legal, medical, financial, or operational functions.

B. Search Engine & LLM Algorithm Disclaimers (Generative AI SEO)

  • No Ranking or Citation Guarantees: Search engine algorithms, Large Language Models (LLMs), and AI search engine citation frameworks (e.g., OpenAI, Google, Perplexity) operate dynamically and outside the control of Britech Labs.
  • Britech Labs commits to executing industry-standard technical GEO, schema deployment, and entity optimization strategies. However, we explicitly disclaim any guarantee that a site or brand will achieve a specific ranking position or fixed citation rate across third-party LLMs.

Client Obligations & Data Warranties

When engaging Britech Labs, you represent and warrant that:

  1. You have full legal authority and rights to provide all Client Materials (including CAD files, database exports, copyrighted graphics, and internal documentation) to us.
  2. The materials provided do not infringe upon the intellectual property, privacy, or trade secret rights of any third party.
  3. You will not request or use our AI systems, 3D assets, or custom integrations to engage in unlawful activity, produce deceptive or harmful content, attempt to “jailbreak” or exploit safety guardrails, or reverse-engineer foundational model weights.

Payment, Quotes, & Scope Changes

  • Quotations & Proposals: Every project is individually scoped based on technical complexity. Project fees, milestone schedules, and deliverables are specified in the individual Proposal or Statement of Work (SOW).
  • Payment Terms: Services begin upon receipt of the agreed deposit or initial invoice payment. Failure to pay fees according to the agreed milestone schedule may result in the suspension of development or delay of asset delivery.
  • Scope Creep: Any request for deliverables, features, or architectural adjustments outside the signed SOW will be evaluated as a change order and quoted separately prior to implementation.

Limitation of Liability

To the maximum extent permitted by applicable law in England and Wales:

  • Indirect Damages: Britech Labs, its officers, employees, or contractors shall not be liable to the Client for any indirect, consequential, incidental, special, or punitive damages, including loss of profit, loss of data, system downtime, or business interruption arising out of or related to the Services.
  • Liability Cap: The maximum aggregate liability of Britech Labs for any claims arising out of these Terms or the performance of Services shall be strictly limited to the total fees actually paid by the Client to Britech Labs under the specific Statement of Work giving rise to the claim in the six (6) months preceding the incident.

Warranties & Indemnification

A. Performance Warranty

Britech Labs warrants that it will perform all Services in a professional, workmanlike manner adhering to modern software engineering, standard web security, and high-fidelity 3D design practices.

B. Client Indemnification

The Client agrees to defend, indemnify, and hold harmless Britech Labs from and against any third-party claims, liabilities, losses, damages, or legal costs arising out of:

  1. The Client Materials supplied to Britech Labs for the project.
  2. The Client’s operational reliance on unverified AI-generated outputs in a live production environment.
  3. Any breach by the Client of these Terms or applicable laws.

Termination

Either party may terminate a project engagement or SOW:

  • For convenience, upon providing fourteen (14) days written notice, provided the Client pays for all work completed and milestones achieved up to the effective date of termination.
  • Immediately upon written notice if the other party materially breaches any provision of these Terms and fails to cure such breach within seven (7) days of receiving notification.

Upon termination, all licenses granted for unpaid deliverables revert to Britech Labs, and any completed, fully paid deliverables will be handed over to the Client.
